Job Description

Compliance of Companies Act, FEMA, and laws applicable to the company. Undertaking PAN India compliance including compliance of applicable central/state/municipal laws. Working Knowledge of financial accounting & understanding of finance process. Experience and coordinating & holding board meetings with offshore directors. Apt in summarizing proposal received from various stakeholders. Suggest and advice board members on proposal before board meetings. Convening Board Meeting, General Meetings, Executive Board Meeting, Audit Committee Meetings, Management Committee Meetings and in particular drafting of agenda for the said meetings and record Minutes of various meetings. Ensuring 100% compliance of all law applicable to the company. Coordination with Secretarial/Internal and Statutory auditors from time to time and ensuring on time closure of relevant audits. Keeping up to date with any regulatory or statutory changes. Preparations of SOPs and policies for improvement of Corporate Governance and policies if internal matters. Vetting of legal agreements/ documents and providing necessary inputs. Identify key risk areas and advise on mitigation plans. Responsible to support legal entities of Sany in India Responsible for all statutory compliance of Sany India.
